Friends of FDR State Parks Bylaws 2013

 The name of this corporation is Friends of Franklin Delano Roosevelt and Donald J Trump State Parks, Inc., herein referred to as FoFDR. The parks are located in New York State in the Town of Yorktown in Westchester County and in Town of Putnam Valley in Putnam County.

FoFDR supports the maintenance, operations, enhancement, and improvement of the parks, promote educational programs that encourage the protection and conservation of natural resources, and provide recreational activities for park visitors.


Any person, family, or organization subscribing to the purpose of FoFDR, who applies for membership, and is annually current with all dues and fees, is a Member.


2.1 Responsibilities of the Board

FoFDR is governed by a Board of Directors (Board) which shall have the general power to control and manage the affairs and the property of FoFDR accordance with the purposes and limitations set forth in the certificate of incorporation. All Board members (Directors) must be current members of FoFDR.

2.2 Responsibilities of Officers

The officers of FoFDR shall be President, Vice-President, Secretary, and Treasurer. The President shall supervise the activities of FoFDR, preside at all Board meetings, make an annual report, and appoint the committee chairs, subject to approval by the Board. The Vice-President, Secretary, and Treasurer shall perform the duties usually pertaining to those offices. Any person may hold two or more offices, except that the offices of President and Secretary may not be held by the same person.

2.3 Terms of Office

The Board shall have a minimum of six (6) members and a maximum of fifteen (15) members divided into two staggered classes of a minimum of three and a maximum of eight with the number in each class determined each year by the nominating committee. The term of office for each Director shall be two years and end with the completion of the Annual Meeting, with the election of a successor, or by the death, resignation, or removal.

2.4 Election of Board of Directors

At the Annual Meeting, the general membership will elect members of the Board (Directors) by a majority vote. There are two classes of Directors each serving a term of two (2) years; their terms expire at the alternate annual meetings. Directors have a maximum number of four (4) terms.

2.5 Election of Officers

Within one week of the Annual Meeting, the Board will elect Officers, by a majority vote. Officer’s terms are two years and may only serve four consecutive terms with terms ending at the conclusion of the Annual Meeting. No more than two officers shall have their terms expire in the same year.

To be eligible to be an officer, Board members need at least one consecutive year of service on the Board.

2.6 Quorum

At Board meetings, half of the Board members present constitute a quorum

2.7 Nominations

Nominations for vacancies or upcoming vacancies for the Board shall be made by the Nominations Committee as set forth in the nomination policy. The slate is presented to Members in the notice of the Annual Meeting sent one month in advance

2.8 Vacancies

The Board may fill vacancies by Special Election for the remainder of a vacant term. The President may appoint a Director to fill an officer vacancy until such time as the Board can take action on the vacancy.

2.9 Removal of a Director

Any director or officer who fails to attend three consecutive meetings without notifying the President or fails to execute the duties of their office may be removed by a majority vote of all Directors present at any Board Meeting, provided that the Director to be removed is notified one month in advance in writing by mail of the intention to the vote to remove them. A director may be removed for cause such as a conviction of a criminal offense.

2.10 Conflicts of Interest

Each board member shall sign the Conflict of Interest Policy annually.


The Board shall conduct their meetings at least quarterly with written notice of meetings sent one week in advance. Within the FoFDR, e-mail will be considered written communication or notice, excluding where otherwise stipulated herein.

The Park Manager or designee shall be invited to all Board meeting.

Members and non-members may attend any meeting except when in executive session.

3.1 Meeting Participation and Presence

Participation in any meeting via conference call constitutes presence in person at meetings. Decisions made shall be filed with the minutes.

3.2 Special Meetings

The President or three Directors may call special meetings of the Board by notifying Directors one week in advance, but with unanimous consent of the Board, exceptions to notification period can be made.

The President or three Directors may call a special meeting to fill vacancies with two weeks notice. The Board shall vote to set the date for a special election not more than three months after the vacancy occurs and with four weeks notice to the membership.


An Annual Meeting of the membership of FoFDR shall be held in the first quarter of the year and be open to all members and interested participants as agreed to by the Board. Members of FoFDR shall receive notice of the meeting one month in advance. Business of the meeting will be conducted by the President including elections of the members of the Board of Directors and filling any vacancies in the Board.

4.1 Voting

The principle of one person one vote applies at the Annual Meeting. Each member of the Board of Directors and any Member in good standing at the time of the meeting and in attendance may cast one ballot on any question put to a vote.

4.2 Quorum

At an Annual Meeting or any special meeting, a quorum is 20 members entitled to cast a vote or 10% of the total number of votes entitled to be cast, whichever is less.

4.3 Action without a Meeting

To the extent permitted by law, any action required or permitted at any meeting may be made without a meeting, if written consent by the President is filed with the minutes of the Board.


Each Committee shall have such powers and duties prescribed in these Bylaws or by the Board. Unless otherwise provided, each committee shall establish its own rules of procedures and shall meet at such times and places as provided in such rules, or by resolution adopted by such committee or the Board.

Each committee shall have a Chairperson assigned by the Board. The Committee will be responsible for providing minutes of each meeting and actions taken by the Committee to the Secretary of FoFDR for reporting to the Board.

Committees may also take action without a meeting and using the definition of Presence, following the above guidelines

A quorum at Committee meetings is a majority of the committee members.

Any committee, standing or ad hoc, shall limit its activities to the purpose for which it was created.

5.1 Standing Committees

The Finance Committee shall help manage and plan for the funds needed for FoFDR. The Treasurer is chair of the Finance Committee and will be responsible for its actions. The Finance Committee minus the Treasurer is responsible for auditing the books.

The Board shall appoint a Nominating Committee and a Chair to be approved by the Board, according to the Nominating Policy.

Additional Standing Committees may be established by the President with the approval by the Board.

5.2 Ad hoc Committees

Ad hoc Committees exist for a specific purpose, often for less than a year and are established by the President with Board approval.


6.1 Fiscal year

The fiscal year shall be from January 1st to December 31st.

6.2 Dues and Fees

The Board of Directors sets dues and fees. All full year dues and fees are payable upon receipt of notice and before March 1st of each year. For members joining after the start of the year, prorated dues or fees will be applied at one twelfth of the fee for each month of more than three weeks and shall be payable within 30 days of application.

6.3 Books and Records

The Treasurer shall be responsible for maintaining adequate financial records, prepare a financial report for each scheduled Board meeting, and collect all fees to be deposited in the name of the FoFDR, in a reliable bank selected by the Board.

Prior to the start of every fiscal year, the Treasurer will submit a budget for approval by the Board and submit an annual financial report.

6.4 Use of Funds and Dissolution

No Director shall receive, directly or indirectly, salary or other compensation from FoFDR in any capacity.

FoFDR shall use its funds only to accomplish the purposes specified in the Articles of Incorporation and these bylaws, and no part of its net earnings shall inure, or be  distributed, to any member of FoFDR. 

Upon dissolution of FoFDR, any  funds remaining shall be distributed to one or more regularly organized and qualified  organizations having objectives similar to those of FoFDR, in accordance with .501 (c)(3) of the Internal Revenue Code as now in force or afterwards amended. Such distribution shall be determined by the Board.

6.5 Reimbursement of Expenses

The Board may determine from time to time, the scope and eligibility of expenses which are eligible for reimbursement.

6.6 Responsibility

No committee, Director, or Member, or other corporation staff member, shall have the power to incur obligations binding upon FoFDR except as authorized by the Board.


These Bylaws may be amended at any meeting of the Board, providing the Directors have been notified least one month before the planned vote. A majority of Board members must approve any amendments.


Robert's Rules of Order shall govern all of FoFDR’s meetings in which they are applicable and in which they are not inconsistent with the Bylaws or policies of the Board.
